Andrea Files Complaint With The United States International Trade Commission

OHEMIA, N.Y., Jan. 26, 2015 /PRNewswire/ -- Andrea Electronics Corporation (OTCBB: ANDR), a leading developer of hardware and software microphone technologies, announced today that it has filed a complaint with the U.S. International Trade Commission, under section 337 of the Tariff Act of 1930, as amended, 19 U.S.C. § 1337.

The complaint alleges violations of section 337 based upon the importation into the United States, the sale for importation, and the sale within the United States after importation of certain audio processing hardware and software and products containing same by reason of infringement of U.S. Patent numbers 5,825,898 "System and Method for Adaptive Interference Cancelling," 6,363,345 "System, Method and Apparatus for Cancelling Noise," 6,049,607 "Interference Canceling Method and Apparatus," 6,377,637 "Sub-band Exponential Smoothing Noise Canceling System," and 6,483,923 "System and Method for Adaptive Interference Cancelling."

The named respondents include Acer Inc., Acer America Corp., ASUSTeK Computer Inc., ASUS Computer International, Dell Inc., Hewlett Packard Co., Lenovo Group Ltd., Lenovo Holding Co., Inc., Lenovo (United States) Inc., Toshiba Corp., Toshiba America, Inc., Toshiba America Information Systems, Inc., and Realtek Semiconductor Corp.

According to the complaint, the respondents import products, such as desktop and laptop computers, that use the patent protected audio enhancement technology. Andrea has requested that the Commission institute an investigation and, after the investigation, issue limited exclusion orders and cease and desist orders.

On October 15, 2015, Andrea Electronics Corporation (the “Company”) entered into a Settlement Agreement with Realtek Semiconductor Corporation (“Realtek”). Under the Settlement Agreement the Company settled outstanding litigation between the Company and Realtek including, (a) Andrea Electronics Corporation v. Realtek Semiconductor Corp., Civ. Action No. 2:15-cv-215, pending in the Eastern District of New York, (b) Realtek Semiconductor Corporation v. Andrea Electronics Corporation, Civ. Action No. 5:15-cv-03184, pending in the Northern District of California, (c) Certain Audio Processing Hardware and Software and Products Containing the Same, Inv. No. 337-TA-949, pending at the International Trade Commission, and (d) IPR2015-1391—1396 pending at the United States Patent and Trademark Office (collectively, the “Litigation”). In addition, the Company and Realtek entered into a Patent and Technology License Agreement.

Under the Settlement Agreement the Company settled outstanding litigation between the Company and HP including Andrea Electronics Corporation v. Hewlett-Packard Co., Civ. Action No. 2:15-cv-208, pending in the Eastern District of New York and Certain Audio Processing Hardware and Software and Products Containing the Same, Inv. No. 337-TA-949, pending at the International Trade Commission (collectively, the “Litigation”). In addition, the Company and HP entered into a Patent License Agreement.

On February 18, 2016, Andrea Electronics Corporation (the "Company") entered into a Settlement Agreement with Lenovo (United States) Inc., ("Lenovo"). Under the Settlement Agreement the Company settled outstanding litigation between the Company and Lenovo including Andrea Electronics Corp. v. Lenovo Group Ltd. et al., and Andrea Electronics Corp. v. Lenovo Holding Co., Inc. et al., in the United States District Court for the Eastern District of New York (Case Nos. 2:14-cv-04489 and 2:15-cv-00212), and Certain Audio Processing Hardware and Software and Products Containing Same, in the United States International Trade Commission (ITC Inv. No. 337-TA-949). The parties also entered a License Agreement.

Our total revenues from continuing operations for the years ended December 31, 2015 and 2014 were approximately $13.2 million and $1.2 million, respectively. Net income from continuing operations for the year ended December 31, 2015 was approximately $2.5 million, or $0.04 per share on a basic and diluted basis, versus a net loss from continuing operations of approximately $2.5 million, or $0.04 net loss per share on a basic and diluted basis for the year ended December 31, 2014. On November 16, 2016, ALJ Dee Lord issued Order No. 5 in Certain Audio Processing Hardware and Software, and Products Containing the Same (Inv. No. 337-TA-1026).

By way of background, this investigation is based on a September 19, 2016 complaint filed by Andrea Electronics Corporation alleging violation by Apple Inc., Samsung Electronics Co. Ltd., and Samsung Electronics America, Inc. of Section 337 by way of unlawful importation into the U.S., selling for importation, and/or selling within the U.S. after importation certain audio processing hardware, software, and products containing same that infringe one or more claims of U.S. Patent Nos. 6,049,607; 6,363,345; and 6,377,607. See our September 21, 2016 and October 21, 2016 posts for more details on the complaint and Notice of Investigation, respectively.

According to Order No. 5, ALJ Lord set February 26, 2018 as the target date for completing the investigation (which is approximately sixteen months after institution of the investigation). In addition, ALJ Lord noted that the Markman hearing will take place on April 11, 2017; the evidentiary hearing will take place on August 14-18, 2017; and the Initial Determination on alleged violation of Section 337 will be issued on October 26, 2017.
