Aumentano il ROE mantenendo il CET1.
Ovviamente titolo segnalato dal Russia anni fa!
5. What is the Purchase Price? How has the Purchase Price been set?• The Purchase Price is the sum of two components—o a cash purchase price (expressed as a percentage) equal to 108.50 per cent. of the nominalamount of each Certificate (i.e., EUR 27.125 per EUR 25 of nominal amount) (the CleanPurchase Price); ando an amount equal to the amount attributable to potential future distributions payable bypurchasers of Certificates to the respective sellers of such Certificates on the SettlementDate in respect of trades on Euronext Amsterdam as per customary practice on EuronextAmsterdam (the Amount Attributable to Potential Future Distributions).
• Based on the Settlement Date expected to take place on 3 May 2024 and subject to any extensionof the Tender Offer period and related deferral of the Settlement Date, the Amount Attributable toPotential Future Distributions per Certificate validly tendered and accepted for purchase pursuant3/10 | Coöperatieve Rabobank UA gevestigd te Amsterdamto the Tender Offer is expected to be equal to 0.6319 per cent. of the nominal amount of theCertificates (i.e., EUR 0.15798 per EUR 25 of nominal amount).
• However this does not constitute a distribution by Rabobank on any Certificate nor a guaranteewith respect to any future distributions on the Certificates, and it is without prejudice to the fulldiscretion of the Managing Board of Rabobank to elect not to make distributions on Certificates atany time.
• The Purchase Price has been set at Rabobank’s discretion following a careful evaluation of a numberof relevant variables including the current and historic observable prices of the Certificates.• The last traded price reported on Euronext Amsterdam prior to the launch date of the Tender Offerwas 103.29 per cent., whereas the Clean Purchase Price offered in the Tender Offer is 108.50 percent.
